By accessing or using this website or the demonstration client portal, you agree to these Terms of Use and the Privacy Policy. If you do not agree, do not use the website or portal.
You must be at least 18 years old and legally capable of entering into these terms. If you use the website on behalf of an organization, you confirm that you are authorized to bind that organization to these terms.
About Podrelay.
Podrelay is a Bosnia and Herzegovina-based provider of managed podcast reporting, analytics, verification and related operational services. The website describes capabilities and allows prospective clients to contact us. It does not itself create a client, employment, partnership, agency, fiduciary or joint-venture relationship.
Client engagements require a separate agreement.
No proposal, website statement, meeting, demonstration or email creates a service obligation unless both parties enter into a written agreement. That agreement will define the scope, deliverables, fees, payment terms, responsibilities, service levels, intellectual property, confidentiality, data protection, warranties, liability and termination rights for the engagement.
If these Terms of Use conflict with a signed client agreement, the signed client agreement controls for the services covered by it.
Demonstration portal.
The public-facing portal is a demonstration. Unless expressly stated otherwise in a signed agreement, names, companies, campaigns, figures, recommendations and other portal content are fictional or illustrative. They are not client records, audited results, financial statements or promises of future performance.
Portal access may require credentials. You must keep credentials confidential, use them only for the authorized purpose and notify Podrelay promptly if you suspect unauthorized access. You are responsible for activity performed using credentials provided to you, except to the extent caused by Podrelay's failure to use reasonable security.
Podrelay may suspend or revoke portal access at any time to protect the website, investigate misuse, comply with law or end a demonstration.
Permitted use.
Podrelay gives you a limited, revocable, non-exclusive and non-transferable right to access the website for legitimate business evaluation and communication with Podrelay. No other right or license is granted.
Prohibited use.
You must not:
- access the portal or any system without authorization, or attempt to bypass authentication or access controls;
- share portal credentials with an unauthorized person;
- probe, scan, test or exploit a vulnerability without Podrelay's prior written permission;
- interfere with the website, introduce malicious code, overload infrastructure or disrupt another user's access;
- scrape, harvest or use automated means to extract content or data except as permitted by applicable law or written permission;
- reverse engineer, decompile or attempt to discover non-public implementation details except where a non-waivable law permits it;
- copy, republish, sell, sublicense or commercially exploit website or portal content;
- impersonate another person, misrepresent affiliation or submit false or unlawful information; or
- use the website in a way that violates law, third-party rights or these terms.
Intellectual property.
The website, portal, brand, logo, design, copy, graphics, software, workflows, demonstrations and other content are owned by Podrelay or its licensors and are protected by applicable intellectual-property laws. Podrelay and its logo are brand identifiers of Podrelay. You may not use them in a way that suggests sponsorship, endorsement or affiliation without written permission.
You may print or save a reasonable portion of public website content for your organization's internal evaluation. You must keep all notices intact. No ownership is transferred.
Your communications and materials.
You remain responsible for material you send to Podrelay and confirm that you have the right to provide it. Do not submit unlawful content or third-party confidential information unless you are authorized to do so and appropriate protections are in place.
Unsolicited messages and materials are not treated as confidential merely because they are sent to Podrelay. Confidentiality obligations arise only under a written agreement or applicable law. Do not send client data, credentials, API keys or trade secrets before the necessary agreement and secure transfer method are in place.
No professional advice.
Website and portal content is general business information. It is not legal, tax, accounting, investment, employment or cybersecurity advice. You should obtain advice from a qualified professional for decisions requiring it.
No performance guarantee.
Examples, case studies, estimates and illustrations describe particular circumstances or possible outcomes. They do not guarantee savings, revenue, rankings, audience growth, campaign delivery, error-free data or any other result. Actual results depend on source-data quality, access, client decisions, third-party platforms, campaign conditions and other factors outside Podrelay's control.
Third-party services and links.
The website may link to or rely on third-party platforms, including hosting, scheduling and content providers. Podrelay does not control their availability, security, accuracy, policies or conduct. Links are provided for convenience and do not constitute an endorsement. Your use of a third-party service is governed by that provider's terms.
Availability and changes.
Podrelay may modify, suspend or discontinue any public website feature, demonstration or content at any time. We do not promise uninterrupted, secure or error-free access. Maintenance, provider failures, security events and circumstances beyond reasonable control may affect availability.
Disclaimer of warranties.
To the fullest extent permitted by applicable law, the website, public content and demonstration portal are provided "as is" and "as available." Podrelay disclaims implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy and uninterrupted availability. Nothing in these terms excludes a warranty or right that cannot lawfully be excluded.
Limitation of liability.
To the fullest extent permitted by applicable law, Podrelay will not be liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profit, revenue, business opportunity, goodwill or data, arising from use of or inability to use the public website or demonstration portal.
Podrelay's total aggregate liability arising from the public website, demonstration portal or these terms will not exceed the greater of the amount you paid specifically for website access during the 12 months before the event giving rise to the claim or EUR 100.
These limitations do not apply to fraud, fraudulent misrepresentation, willful misconduct, gross negligence, death or personal injury caused by negligence, or any liability that cannot be limited under applicable law. Liability relating to paid client services is governed by the signed client agreement.
Indemnity for misuse.
If you use the website on behalf of a business, that business will defend and indemnify Podrelay against third-party claims, losses and reasonable costs caused by its unlawful use, unauthorized access, infringement of third-party rights or material breach of these terms. This obligation does not apply to the extent a claim was caused by Podrelay's own unlawful conduct.
Governing law and disputes.
These terms are governed by the laws of Bosnia and Herzegovina, without regard to conflict-of-law rules. The competent courts having territorial jurisdiction over Podrelay's principal place of business in Bosnia and Herzegovina will have exclusive jurisdiction, unless mandatory law requires otherwise.
Before filing a claim, each party should give the other written notice and make a good-faith attempt to resolve the dispute for at least 30 days. This does not prevent either party from seeking urgent injunctive relief or taking action before a limitation period expires.
The website is intended for business users. If you are legally treated as a consumer, nothing in these terms removes mandatory rights or jurisdiction protections that apply to you.
General terms.
If any provision is unenforceable, it will be limited to the minimum extent necessary and the remaining provisions will continue. A failure to enforce a provision is not a waiver. You may not assign these terms without Podrelay's written consent. Podrelay may assign them as part of a business reorganization, sale or transfer. These terms and the Privacy Policy form the entire agreement concerning use of the public website and demonstration portal.
Changes to these terms.
Podrelay may update these terms by posting a revised version with a new effective date. Changes apply prospectively. Continued use after the effective date means you accept the revised terms.
